Terms of Service

The service

Novex is an informational + tracking tool for adults researching personal protocols. It provides AI-assisted analysis of your tracked compounds, biometrics, lab data, and (when ingestion goes live) genetic data, framed against the published literature. It is not medical advice. It is not a substitute for a licensed healthcare provider. It is not the practice of medicine, dietetics, pharmacology counseling, or genetic counseling. Your account

• You must be 18 or older. You represent and warrant that you meet this requirement each time you access the Service.
• You're responsible for keeping your password confidential and for all activity under your account.
• You must provide accurate information; false data leads to worse analysis and possible safety risks.
• One account per person; no sharing of credentials.
• You are responsible for ensuring that your use of the Service is lawful in your jurisdiction.

Acceptable use

You agree NOT to:

• Reverse engineer, scrape, or use automated tools against the Service.
• Resell Atlas's outputs as your own service or product.
• Upload data about another person without their explicit, documented consent.
• Use the Service for clinical diagnosis, treatment, medical billing, or any regulated medical purpose.
• Use the Service to recommend, prescribe, or facilitate the prescription of any medication to any third party.
• Solicit, promote, or facilitate off-label use of any drug or compound.
• Use the Service to evade FDA, FTC, DEA, state medical board, or any other regulatory requirement.
• Use the Service if you are under 18.
• Use the Service to harass, defraud, or harm any person.
• Upload malicious content (malware, etc.) or attempt to compromise the Service's security.

Novex may suspend or terminate any account that violates these rules without prior notice.

Subscription, billing, cancellation

• Free tier: limited features (see /pricing).
• Pro tier: $29/month or $290/year via Clerk Billing.
• 7-day free trial: requires card on file; not charged until day 8 if you don't cancel.
• Cancel anytime via Settings → Subscription → Manage. You retain Pro access through the end of your current billing period.

Refunds

• Free trial: cancel before day 8, pay nothing.
• Monthly subscriptions: no refunds for the current period; cancellation takes effect at period end.
• Annual subscriptions: no refunds; consider monthly if uncertain.
• Disputed charges: contact support before initiating a chargeback.

Intellectual property

• You own your data (profile, bloodwork, biometrics, tracked compounds, chat history).
• We own the Atlas system prompt, tools, compound reference database, app code, brand, and the Novex and Atlas marks.
• You grant Novex a non-exclusive, worldwide, royalty-free license to process your data solely as needed to provide the Service to you. Novex does not use your health or genetic data to train any model.

Privacy + consumer health data

Privacy practices are described in the Privacy Policy and (for consumer health and genetic data) the separate Consumer Health Data Privacy Notice. By using the Service you acknowledge these documents.

Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, OR FITNESS FOR ANY MEDICAL, DIAGNOSTIC, OR THERAPEUTIC PURPOSE.

Novex does not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, that Atlas's outputs will be accurate or appropriate for your individual situation, or that the Service will meet your specific requirements. Atlas is a probabilistic AI system and its outputs can be wrong; you assume all risk of acting on them.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VORIX'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID VORIX IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100). IN NO EVENT WILL VORIX BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL.

The limitations above do NOT apply to: (i) Novex's gross negligence, willful misconduct, or fraud; (ii) violations of law by Novex; (iii) any liability that cannot be limited as a matter of public policy under the law of your state of residence (including, where applicable, California Civil Code § 1668); (iv) statutory private rights of action that cannot be waived; or (v) Novex's indemnification obligations under applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the limitations above apply to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Novex and its officers, employees, and contractors from any claim, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Service; (ii) your violation of these Terms; (iii) your misuse or off-label use of any compound; (iv) your sharing of credentials with any third party; (v) any use of the Service by a minor in violation of these Terms; or (vi) your violation of any law or the rights of any third party in connection with your use of the Service.

Dispute resolution

Pre-litigation notice and cure. Before filing a lawsuit or arbitration demand against Novex, you agree to first send written notice of the dispute to legal@novex.bio describing the dispute and the relief sought. Novex will have 30 days to attempt to resolve the dispute informally.

Binding arbitration + class waiver (counsel-pending). If the dispute is not resolved within 30 days, it will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association (AAA), and you and Novex each waive any right to participate in a class or collective action. Carve-outs apply for small-claims court, intellectual-property disputes, and injunctive relief. The detailed arbitration + class-waiver clause is being finalized with counsel; until that clause is published here, disputes that cannot be resolved informally will proceed in the courts of the State of Delaware, USA, with each party reserving all available defenses.

Governing law and forum

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Except as required by applicable law (including any consumer right to bring suit in the state of your residence), the exclusive forum for any dispute not subject to arbitration is the state or federal courts located in Delaware.

Termination + survival

You may terminate your account at any time via Settings → Account → Delete. Novex may suspend or terminate your access immediately for violations of these Terms or for legal reasons. The following sections survive termination: Intellectual property; Privacy + consumer health data; Disclaimer of warranties; Limitation of liability; Indemnification; Dispute resolution; Governing law and forum; Termination + survival; Modifications; Severability; Entire agreement.

Modifications

We may update these Terms. Material changes will be emailed to registered users at least 30 days before taking effect, and (where required by law) may require renewed acceptance before continuing to use the Service.

Force majeure

Novex is not liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disaster, war, terrorism, riot, embargo, civil or military authority, fire, flood, accident, strike, supplier failure, internet outage, or shortage of transportation, facilities, fuel, energy, labor, or materials.

Severability + assignment + entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. You may not assign these Terms without Novex's prior written consent; Novex may assign these Terms freely. These Terms, together with the Privacy Policy, Consumer Health Data Privacy Notice, Cookies Policy, Medical Disclaimer, and Refund Policy, constitute the entire agreement between you and Novex regarding the Service and supersede any prior agreements.
